In this contract you won\u2019t find any complicated legal terms\nor long passages of unreadable text. We\u2019ve no desire to trick you into signing\nsomething that you might later regret. What we do want is what\u2019s best for both\nparties, now and in the future.<\/p>\n\n\n\n<p><strong>So in short;<\/strong><strong><\/strong><\/p>\n\n\n\n<p>You, [ (names and address) \u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026\u2026.] are\nhiring us Arc International Ltd T\/A The Okello Group, located at 3<sup>rd<\/sup>\nFloor, 86-90 Paul Street, London, EC2A 4NE to design and develop a web site for\nthe monthly total cost of \u00a399 for 12 months as outlined in our previous\ncorrespondence. Also delivery of online marketing strategy work. Of course it\u2019s\na little more complicated, but we\u2019ll get to that.<\/p>\n\n\n\n<p><strong>What do both parties agree to do?<\/strong><strong><\/strong><\/p>\n\n\n\n<p><strong>You:<\/strong> You have the authority to enter into this contract on behalf of\nyourself, your company or your organisation. You\u2019ll give us\neverything we need to complete the project as and when and in the format we\nneed it. You\u2019ll review our work, provide feedback and approval in a timely\nmanner too. Deadlines work two ways, so you\u2019ll also be bound by dates we set\ntogether. You also agree to stick to the payment schedule set out at the end of\nthis contract.<\/p>\n\n\n\n<p><strong>Us:<\/strong> We have the experience and ability to do everything we\u2019ve agreed with\nyou and we\u2019ll do it all in a professional and timely manner. We\u2019ll endeavor to\nmeet every deadline that\u2019s set and on top of that we&#8217;ll maintain the\nconfidentiality of everything you give us.<\/p>\n\n\n\n<p><strong>Getting down to the nitty gritty<\/strong><strong><\/strong><\/p>\n\n\n\n<p><strong>Design<\/strong><strong><\/strong><\/p>\n\n\n\n<p>We create look-and-feel designs, and flexible layouts that adapt to the\ncapabilities of many devices and screen sizes. We create designs iteratively\nand use predominantly HTML and CSS so we won\u2019t waste time mocking up every\ntemplate as a static visual. We may use static visuals to indicate a\nlook-and-feel direction (colour, texture and\ntypography.) We call that \u2018design atmosphere.\u2019 You\u2019ll have two or more weekly\nopportunities to review our work and provide feedback. If, at any stage, you\u2019re\nnot happy with the direction our work is taking, let\nus know and we will change the graphic designers and developers in charge with\nyour design to produce a design that you prefer. This sometimes happens when\nthere is a miscommunication or misunderstanding between non-technical clients\nand technical minded designers.<\/p>\n\n\n\n<p><strong>Text content<\/strong><strong><\/strong><\/p>\n\n\n\n<p>We\u2019re not responsible for writing or inputting any text copy. If you\u2019d\nlike us to write new content or input text for you, we can provide a separate\nestimate for that.<\/p>\n\n\n\n<p><strong>Photographs<\/strong><strong><\/strong><\/p>\n\n\n\n<p>You should supply graphic files in an editable, vector digital format.\nYou should supply photographs in a high resolution digital format. If you\nchoose to buy stock photographs, we can suggest stock libraries. If not we will\nuse license free images that we feel fit the brand and tone of the website.<\/p>\n\n\n\n<p><strong>HTML, CSS and Javascript<\/strong><strong><\/strong><\/p>\n\n\n\n<p>We deliver web design developed from HTML5 markup, CSS2.1 + 3\nstylesheets for styling and unobtrusive Javascript for feature detection,\npoly-fills and behaviors. We also use CMS systems dependent on what is best for\nthe longevity of the project and its aims and goals. We are well versed in all\naspects of development and use the right tool for the right project.<\/p>\n\n\n\n<p><strong>Browser testing<\/strong><strong><\/strong><\/p>\n\n\n\n<p>Browser testing no longer means attempting to make a website look the\nsame in browsers of different capabilities or on devices with different size\nscreens. It does mean ensuring that a person\u2019s experience of a design should be\nappropriate to the capabilities of a browser or device.<\/p>\n\n\n\n<p><strong>Desktop browser testing<\/strong><strong><\/strong><\/p>\n\n\n\n<p>We test our work in current versions of major desktop browsers including those made by Apple (Safari), Google (Chrome), Microsoft (Internet Explorer), Mozilla Firefox and Opera. We\u2019ll also test to ensure Microsoft Internet Explorer 8 for Windows users get an appropriate, possibly different, experience. We\u2019ll implement a single column design for Internet Explorer 7 and below for Windows and we won\u2019t test in other older browsers unless you specify otherwise.<\/p>\n\n\n\n<p><strong>Mobile browser testing<\/strong><strong><\/strong><\/p>\n\n\n\n<p>Testing popular small-screen devices is essential in ensuring that a\nperson\u2019s experience of a design is appropriate to the capabilities of the\ndevice they\u2019re using. We test our work in:<\/p>\n\n\n\n<ul><li>Android and IOS native browsers for mobile<\/li><li>Google Chrome, Microsoft Edge and Firefox for desktop<\/li><\/ul>\n\n\n\n<p>We currently don\u2019t test, Opera Mobile, Symbian or other mobile browsers.\nIf you need us to test using these, we can provide a separate estimate for\nthat.<\/p>\n\n\n\n<p><strong>Technical support<\/strong><strong><\/strong><\/p>\n\n\n\n<p>Send us a support ticket if you are having any issues and we will do our best to take care of it as quickly as possible. Most issues are resolved within 12 hours, sometimes 24 hours but in the worst case 48 hours. We provide you with hosting from our recommended hosting partner. We set up your site on a server, plus any statistics software such as Google Analytics which is included in the monthly price. We will do our very best to ensure that the site stays up and secure at all times within our reasonable limitations. We will also keep a monthly backup offsite, just in case.<\/p>\n\n\n\n<p><strong>Changes and revisions<\/strong><strong><\/strong><\/p>\n\n\n\n<p>We know from experience that fixed-price contracts are rarely beneficial\nto you, as they often limit you to your earliest ideas. We don\u2019t want to limit\nyour ability to change your mind. The price at the beginning of this contract\nis based on the length of time we estimate we\u2019ll need to accomplish everything\nyou\u2019ve told us you want to achieve, but we\u2019re happy to be flexible. If you&nbsp; want to change your mind or add anything new,\nthat won\u2019t be a problem as we\u2019ll provide a separate estimate for that.<\/p>\n\n\n\n<p><strong>Legal stuff<\/strong><strong><\/strong><\/p>\n\n\n\n<p>We can\u2019t guarantee that our work will be error-free and so we can\u2019t be\nliable to you or any third-party for damages, including lost profits, lost\nsavings or other incidental, consequential or special damages, even if you\u2019ve\nadvised us of them. Finally, if any provision of this contract shall be unlawful,\nvoid, or for any reason unenforceable, then that provision shall be deemed\nseverable from this contract and shall not affect the validity and\nenforceability of any remaining provisions.<\/p>\n\n\n\n<p>Phew.<\/p>\n\n\n\n<p><strong>Cancellations:<\/strong><\/p>\n\n\n\n<p>You have the right to cancel at anytime, but your website and emails on the domain it is on will be closed and taken offline, unless you pay for the remaining period of the 12 month plan. To initiate this, please create a support ticket and we will execute this for you.<\/p>\n\n\n\n<p><strong>Copyrights<\/strong><strong><\/strong><\/p>\n\n\n\n<p>First, you guarantee that all elements of text, images or other artwork\nyou provide are either owned by your good selves, or that you\u2019ve permission to\nuse them.<\/p>\n\n\n\n<p>Then, when your final payment has cleared, copyright will be\nautomatically assigned as follows:<\/p>\n\n\n\n<p>You\u2019ll own the visual elements that we create for this project. We\u2019ll\ngive you source files and finished files and you should keep them somewhere\nsafe as we\u2019re not required to keep a copy. You own all elements of text, images\nand data you provided, unless someone else owns them.<\/p>\n\n\n\n<p>We\u2019ll own the unique combination of these elements that constitutes a complete design and we\u2019ll license that to you, exclusively and in perpetuity for this project only, unless we agree otherwise. We can provide a separate estimate for that.<\/p>\n\n\n\n<p>We love to show off our work and share what we\u2019ve learned with other\npeople, so we reserve the right, with your permission, to display and link to\nyour project as part of our portfolio and to write about it on websites, in\nmagazine articles and in books.<\/p>\n\n\n\n<p><strong>Payments<\/strong><strong><\/strong><\/p>\n\n\n\n<p>We\u2019re sure you understand how important it is as a small business that\nyou pay the invoices that we send you promptly. As we\u2019re also sure you\u2019ll want\nto stay friends, you agree to stick tight to the following payment schedule.<\/p>\n\n\n\n<ul><li>Payments all have\nthe expected date of 28<sup>th<\/sup> Day of the month. <\/li><li>Missed payment of\nover 5 working days result in the website going offline<\/li><li>Over 3 missed\npayments will result in the full remaining annual fee for the website being\npaid in full before the website is reactivated.<\/li><\/ul>\n\n\n\n<p>If the payment is for the\nkick-off of a project, no work will start until payment has been received.
